User Agreement for well-research.com
This User Agreement ("Agreement") governs the use of well-research.com, a website operated by Well-Research. By accessing or using the Site, you agree to be bound by the terms and conditions set forth in this Agreement. If you do not agree to these terms and conditions, you should not use the Site.
The Site is available only to individuals who are at least 18 years old and capable of entering into a legally binding agreement. By using the Site, you represent and warrant that you are at least 18 years old and that you have the right, authority, and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement.
The content of the Site, including but not limited to text, software, scripts, graphics, photos, sounds, music, videos, interactive features and the like ("Content"), is protected by copyright and trademark laws and other laws of the United States and other countries. You acknowledge and agree that the Content, including all associated intellectual property rights, is the exclusive property of Well-Research and its licensors. You will not remove, alter or conceal any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Content and you will not reproduce, modify, adapt, prepare derivative works based on, perform, display, publish, distribute, transmit, broadcast, sell, license or otherwise exploit the Content.
The Site may allow users to submit, upload, publish or otherwise make available Content, including but not limited to text, photographs, videos and audio (collectively, "User Content"). You retain all rights in, and are solely responsible for, the User Content you make available through the Site.
By making any User Content available through the Site, you grant to Well-Research a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with the Site and Well-Research's business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.
You agree not to use the Site to:
Upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
Harm minors in any way;
Impersonate any person or entity, including, but not limited to, a Well-Research official, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity;
Forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Site;
Upload, post, email, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships;
Upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
Upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid
